Terms and Conditions

1. Acceptance of Terms

By accessing or using the services provided by Bluebag.app, you agree to abide by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you and Bluebag Technologies LLC, its subsidiaries, and affiliated entities ("Bluebag.app"). If you do not agree to these Terms, you must immediately cease using the Platform.

2. Definitions

  • Platform: Refers to the mobile and web-based applications, website, and services developed and offered by Bluebag.app.
  • Bluebag.app: Refers to Bluebag Technologies LLC, its subsidiaries, parent companies, or any affiliated entities that own or control Bluebag Technologies LLC.
  • TSD Token: A fundraising token intended for early adopters, developers, contributors, and founders. Non-refundable, non-transferable, and can only be exchanged for TED tokens post-launch.
  • TED Token: The official token of the Bluebag.app ecosystem.
  • Account: A user profile created with Bluebag.app that records relevant virtual asset movements and provides access to services.
  • Wallet: The virtual wallet associated with your Account on the Platform, recording virtual asset balances.

3. Eligibility

To use the Platform, you must:

  • Be at least 12 years of age, or the legal age in your jurisdiction, whichever is higher.
  • Be located in a country that is not considered high-risk by Bluebag.app.
  • Not be involved in any activities related to money laundering, terrorist financing, or other illicit activities.

Bluebag.app reserves the right to deny or revoke access to the Platform in high-risk jurisdictions, as determined by applicable laws and regulations.

4. User Responsibilities

You agree that you will not:

  • Use the Platform for any illegal or unlawful purposes, including fraud, money laundering, or terrorist financing.
  • Provide false, misleading, or incomplete information during the registration or verification process.
  • Use the Platform to engage in any deceptive activity, including employing any scheme or device to defraud or deceive, or engaging in practices that would operate as fraud or deception in a transaction involving virtual assets.
  • Interfere with or disrupt the operation of the Platform, attempt to breach its security measures, or otherwise compromise the system.

Violations of these responsibilities may result in the suspension or termination of your account and access to our services.

5. Account Registration and Verification

To access certain features of the Platform, you are required to:

  • Provide a valid phone number and email, both of which must be verified.

Failure to verify your phone number and email may result in limitations on your account functionality.

Bluebag.app uses a passwordless authentication system, and you are required to set up a PIN to access your account securely.

6. Sub-Accounts

Bluebag.app may provide you with sub-accounts for usage on other platforms or services provided by us, such as Bluebag Housing.

7. Transaction Fees

For transactions involving tokens, the following fees apply:

  • TSD Tokens: Bluebag.app may charge a transaction fee to cover expenses on the Solana network (charges are capped at $0.50 USD per transaction).
  • TED Tokens: Transaction fees will be covered by Bluebag.app under our tax-per-transaction model. Consult the Bluebag Whitepaper for more information.

8. Token Usage

Tokens issued by Bluebag.app are purely for participation in the ecosystem and do not provide users with any rights over equity in Bluebag.app.

9. Biometric Data Usage

In certain regions or on specific devices, Bluebag.app may offer biometric login features (such as Face ID, Touch ID, or fingerprint authentication) for ease of access. By enabling these features, you consent to the use of your biometric information for the sole purpose of authenticating access to your account.

  • Biometric data is processed and stored solely on your device and is not stored or accessed by Bluebag.app's servers.
  • Bluebag.app cannot retrieve or access your biometric data. The responsibility for managing biometric access rests with the user.
  • You may disable biometric login at any time via the settings on your device or within the Bluebag.app application.
  • If you lose access to your biometric data (e.g., if your device is reset or lost), you will need to re-enable it manually by authenticating through another verified method (such as PIN or password recovery).

By using biometric authentication features, you accept the associated risks, including unauthorized access in cases where another person may have registered their biometric data on your device.

10. Privacy and Data Protection

At Bluebag.app, we prioritize the privacy and security of our users' personal information. By using our platform, you acknowledge and agree to the collection, use, and storage of your personal data in accordance with our Privacy Policy, available at bluebag.app/privacy-policy.

11. Intellectual Property

All content on the Platform, including but not limited to trademarks, logos, trade names, service marks, patents, and copyrighted material, are the property of Bluebag.app or its licensors. You are granted a limited license to use the Platform for its intended purpose. No rights to the intellectual property are transferred to you by these Terms.

12. Prohibited Activities

In addition to the user responsibilities outlined in this agreement, you are expressly prohibited from engaging in any of the following activities when using the Bluebag.app platform:

  • (a) Deceptive or Fraudulent Behavior:
    • Engaging in any deceptive, misleading, or fraudulent activities, including but not limited to falsifying information, creating false identities, impersonating others, or manipulating data for personal or financial gain.
    • Engaging in identity theft, phishing, or any form of social engineering to deceive or harm others.
  • (b) Illegal or Unauthorized Transactions:
    • Using Bluebag.app or any of its services to participate in illegal activities, including money laundering, financing terrorism, human trafficking, or drug and arms trafficking.
    • Participating in or facilitating unlawful gambling, pyramid schemes, Ponzi schemes, or other high-risk or fraudulent investment schemes.
    • Conducting transactions in violation of financial sanctions or embargoes imposed by any government or regulatory body.
  • (c) Jurisdictional Violations:
    • Accessing or using the platform from jurisdictions where such usage is prohibited by local laws, regulations, or sanctions.
    • Providing inaccurate information to circumvent geographic or legal restrictions, such as using VPNs ou outras tecnologias para ocultar sua localização.
  • (d) Unauthorized Access and System Interference:
    • Attempting to gain unauthorized access to any aspect of the platform, including user accounts, systems, or databases, whether through hacking, password mining, or any other unauthorized means.
    • Introducing viruses, malware, or any other harmful software to interfere with the proper functioning of the platform or to extract data from Bluebag.app.
    • Engaging in distributed denial-of-service (DDoS) attacks, spamming, or similar disruptive activities that could harm the platform, its users, or associated networks.
  • (e) Manipulation and Exploitation of the Platform:
    • Exploiting any bugs, vulnerabilities, or security loopholes in the platform to gain an unfair advantage or to conduct malicious activities.
    • Manipulating or tampering with smart contracts, tokens, wallets, or any other features of the platform in ways not intended by Bluebag.app or in violation of the terms and conditions.
    • Attempting to reverse-engineer, decompile, disassemble, or otherwise tamper with Bluebag.app’s proprietary technology or source code.
  • (f) Unlawful Content and Conduct:
    • Uploading, distributing, or otherwise making available any unlawful, harmful, threatening, defamatory, obscene, hateful, or discriminatory content, including content that infringes on intellectual property rights.
    • Using the platform to harass, abuse, or violate the rights of others, including engaging in stalking, threats, or intimidation.
  • (g) Circumventing Security and Verification Protocols:
    • Bypassing or attempting to bypass Bluebag.app’s security measures, verification protocols, or KYC/AML (Know Your Customer/Anti-Money Laundering) compliance procedures.
    • Falsifying identity or documentation to avoid account verification or regulatory checks required by Bluebag.app or applicable law.
  • (h) Misrepresentation and Misinformation:
    • Intentionally spreading false, misleading, or unverified information about Bluebag.app, its services, or the users, including on social media, to manipulate public perception or damage the platform’s reputation.
    • Misrepresenting your affiliation with Bluebag.app or falsely claiming any official endorsement by the platform.
  • (i) Unauthorized Commercial Use:
    • Exploiting the platform for unauthorized commercial purposes, such as the resale of Bluebag.app services or tokens, or running advertisements, promotions, or affiliate links without prior approval from Bluebag Technologies LLC.
  • (j) Failure to Comply with Platform Guidelines:
    • Failing to adhere to Bluebag.app’s rules, guidelines, and policies as issued by the platform from time to time, including but not limited to content standards, security protocols, and user conduct requirements.

Consequences of Violations: Any violation of these prohibited activities may result in immediate suspension or termination of your account, the freezing or confiscation of tokens or assets, and potential legal action.

13. Account Limitations and Closures

Bluebag.app reserves the right to limit, suspend, or close your Account or Wallet at its sole discretion. This includes:

  • Specifying the scope and extent of your Account or Wallet.
  • Restricting or imposing conditions on your Account or Wallet.
  • Limiting the number of accounts you may hold (subject to operational requirements, you may only have one account).

Your account is established solely for the purpose of using the Platform and recording virtual asset movements. It should not be interpreted as a banking or standalone custody service.

14. Platform "As Is" Basis

You acknowledge that the Platform (including the App and Website) has not been developed specifically for your individual needs and is offered "as is" and "as available." Bluebag.app makes no representations or warranties, express or implied, regarding the Platform's performance, security, or availability. Bluebag.app is not responsible for any loss or consequence arising from your use of the Platform.

15. Compliance

Before using the Platform outside of your country of residency, you agree to ensure that your use complies with any laws, regulations, or rules of that jurisdiction.

16. Limitation of Liability

In no event will Bluebag.app be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, loss of data, or interruption of service arising from your use of the Platform, even if Bluebag.app has been advised of the possibility of such damages. To the fullest extent permitted by law, by agreeing to these Terms, you waive any right to seek redress, compensation, or litigation against Bluebag.app or its affiliates for any claim related to your use of the Platform, including but not limited to any service interruptions, inaccuracies, or loss of assets or data.

17. Use of External APIs

(a) Third-Party Integration: Bluebag.app integrates with various external APIs (such as payment gateways, stablecoin providers, identity verification services, and blockchain networks) to enhance the functionality and services offered on the Platform. These external APIs are operated by third parties over which Bluebag.app has no direct control.

  • (b) Validation and Safety:

    Bluebag.app conducts thorough research and due diligence to select reliable and trustworthy external API providers to ensure the safety and security of our users. We evaluate each provider based on industry standards, security protocols, and overall performance to maintain the highest level of service quality and protect our users' data.

  • (c) No Warranties on External Services:

    Despite our efforts to validate third-party API providers, Bluebag.app does not make any representations or warranties regarding the continuous availability, reliability, or accuracy of these external APIs. Any issues such as downtime, malfunctions, or incorrect data originating from these external providers are beyond our control, and Bluebag.app is not liable for any resulting consequences.

  • (d) Risks Involved:

    By using the Platform, you acknowledge that there may be inherent risks associated with services and data provided through external APIs, including (but not limited to) delays, inaccuracies, or interruptions in service. Bluebag.app is not responsible for any losses or damages that may occur due to issues related to third-party API services.

  • (e) Reporting Abuse:

    If you believe that any of the third-party API providers used by Bluebag.app are acting improperly, abusing their position, or causing any other issues, please report these concerns to us at report@bluebag.app. We will investigate the matter promptly and take appropriate action where necessary.

  • (f) Changes in External Services:

    Bluebag.app reserves the right to change or discontinue the use of any external API integrated into the Platform without prior notice. This may include switching providers, updating integration protocols, or temporarily or permanently suspending access to features that rely on external APIs.

  • (g) User Acknowledgement:

    By using the Platform, you agree that your interactions with services provided through external APIs are governed by the terms and conditions of the respective third-party providers. Bluebag.app assumes no responsibility for the actions, omissions, or performance of these third parties.

  • (h) Data Handling by Third-Party APIs:

    In the course of using external APIs, some of your personal or transaction data may be shared with third-party providers to facilitate the relevant services. Bluebag.app takes steps to ensure that any data shared is limited to what is strictly necessary and is handled securely in compliance with applicable privacy laws.   • (i) Compliance with Third-Party Terms:

    By using the Platform, you agree to comply with the terms and conditions imposed by the third-party providers associated with the external APIs. Any failure to adhere to these terms may result in penalties or restrictions imposed by the respective providers, for which Bluebag.app bears no responsibility.

18. Notifications

Notifications regarding changes, updates, and any relevant information concerning your Account will be communicated through the following channels:

  • App notifications
  • Email
  • SMS

19. Account Termination

You may terminate your Account by requesting deletion through the Platform. Upon account termination:

  • All user information will be deleted within 30 days, allowing time for recovery of the Account if necessary.
  • After this period, a new Account must be created, undergoing all verification and KYC checks, including loss of your username, which will be available for others to use within six months.
  • Confirmation of account deletion must involve two or more verification steps to prevent fraudulent deletion requests.

20. Amendments and Updates

Bluebag.app reserves the right to modify these Terms at any time. Any changes will be effective upon posting the updated Terms on the Platform. You are responsible for regularly reviewing the Terms to stay informed of any changes. Your continued use of the Platform after any modifications constitutes acceptance of the updated Terms.

21. Indemnification

You agree to indemnify, defend, and hold harmless Bluebag.app, its affiliates, directors, officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising out of or in connection with:

  • Your use of the Platform.
  • Your violation of these Terms.
  • Your violation of any rights of another party.
  • Your violation of any applicable laws or regulations.

22. Limitation of Liability

In no event shall Bluebag.app or its affiliates be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or in any way connected with the use of or inability to use the Platform.

23. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Bluebag Technologies LLC operates, without regard to its conflict of law principles.

24. Force Majeure

Bluebag.app shall not be liable for any failure or delay in performance resulting from causes outside its reasonable control, including but not limited to acts of God, labor disputes, war, terrorism, embargoes, acts of civil or military authorities, fire, floods, accidents, and failures of telecommunications or computer systems.

25. Intellectual Property

All content, trademarks, and other intellectual property rights associated with the Platform are owned or licensed by Bluebag Technologies LLC. No right, title, or interest in or to the Platform is granted to you, and you may not use any content from the Platform without the express written consent of Bluebag Technologies LLC.

26. Infrastructure Audits

The infrastructure of Bluebag.app will undergo regular audits by external auditors, including but not limited to, Cloudvisor (AWS) and Deloitte, to ensure the accuracy and transparency of information displayed to users, including wallet balances and transaction records. These audits will also assess the security of the Platform and the protection of user data, ensuring compliance with applicable laws and regulations.
